Internal dealing refers to transparency requirements for operations relating to Shares or Debt Instruments issued by listed companies, as well as derivatives or other relating financial instruments carried out by representatives of the Companies themselves, Relevant Shareholders and by persons closely connected to them. At Snam, internal dealing is governed by the Market Abuse Procedure.
Any transactions that are considered “relevant” by the rules laid down by Consob, Italy’s markets authority, must be disclosed. At Snam, internal dealing imposes these requirements on:
- Chief executive officer
- Chairman of the board of statutory auditors
- Standing statutory auditors
- Managers with strategic responsibilities
- Shareholders holding at least 10% of the Company's share capital

(*) The composition of managers with strategic responsibilities has changed: in particular, during 2016, after the demerger of Italgas and the global corporate reorganization, some changes in the identification of the functions and in the functions themselves occured. The table shows shareholdings held by the people included between managers with strategic responsibilities, respectively at the end of the year 2015 and at the end of the year 2016, taking into account the turnovers and the transactions carried out during the year.
